A.          Research Projects. Yale and KREI agree to work together and to involve students, post-doctoral fellows in research, faculty, and researchers in the fields of agriculture, forestry, water, and climate. Specific research projects (the “Research”) will be determined pursuant to paragraph B and subject to a Statement of Work (as defined below). 
 
B.          The Research; Statements of Work: Prior to beginning actual work on a research project under this Agreement, the parties shall negotiate, and cause to be executed by authorized officers of each such party, an agreement supplemental to this Agreement (each, a “Statement of Work”) addressing the specific details of such research project or activity. All Statements of Work shall be governed by the terms of this Agreement except as expressly modified by the terms of the Statement of Work.
 
C.       Conduct of Research. It is expected that each of Yale and KREI will conduct the Research at their respective facilities with involvement of students, post-doctoral fellows, researchers, and faculty. KREI will send researchers (employees) to work on the projects at Yale and will fund the researchers that they send. Yale students will be encouraged to work on the projects at Yale as part of their education and possibly visit KREI to assist with research at KREI. Yale faculty will visit KREI to collaborate on the research. Each institution is responsible for paying for their own employees and travel unless otherwise specified in a Research Statement of Work.  
 
D.       Research Ethics. Each of the parties shall abide by generally recognized principles regarding research ethics (for example, conflict of interest, and research misconduct in the nature of fabrication, falsification, and plagiarism) and establish procedures for enforcing those ethics. Each party agrees to promptly report any instance of suspected misconduct or breach of research ethics to the other party.
